Preamble

This agreement aims to strengthen the friendly relationship between both parties and maintain a minimum level of rights and obligations related to the exchange of information, ensuring seriousness in discussing any potential cooperation opportunities, including partnerships or other business options.

Clause 1: Definition of Confidential Information

Confidential information includes all data and information exchanged between the parties, whether written, verbal, or electronic, including but not limited to strategies, plans, projects, directions, and discussions related to potential cooperation. Both parties are committed to maintaining the confidentiality of this information and not disclosing it to any third party without the written consent of the owner.

Clause 2: Limitations on the Use of Confidential Information

Both parties agree to use the confidential information solely for the purposes agreed upon within this agreement and not to exploit it for any other purpose without obtaining explicit consent from the concerned party.

Clause 3: Prohibition of Unauthorized Use

Both parties agree not to use the confidential information in a manner that contradicts the objectives of this agreement or that may harm the other party. Additionally, no transfer or sharing of this information with any other entity is allowed without prior written authorization.

Clause 4: Confidentiality Commitment After Termination of the Agreement

In the event of termination of this agreement for any reason, both parties shall continue to maintain the confidentiality of the information and shall not use or disclose it. Furthermore, both parties commit not to engage in direct or indirect competition based on the information exchanged during the term of the agreement.

Clause 5: Liability for Breach of Agreement and Dispute Resolution

Neither party may breach the terms of this agreement. In the event of any dispute, both parties shall seek an amicable resolution based on the principle of good faith and mutual trust. If a satisfactory resolution cannot be reached, the dispute shall be referred to the Commercial Court in Riyadh, Kingdom of Saudi Arabia, for adjudication in accordance with the applicable laws and regulations.

Clause 6: Non-Disclosure Commitment

I hereby pledge, before God and myself, not to disclose, share, transfer, or retain any of the information, ideas, or projects presented by the first party during or after the meetings or negotiations, regardless of whether an agreement is reached between the parties. All intellectual property rights and provided information shall remain the exclusive property of the first party.
